THESE TERMS OF USE (THE "TERMS") IS A LEGAL AGREEMENT BETWEEN IMATES TECHNOLOGY PRIVATE LIMITED, A COMPANY INCORPORATED UNDER THE LAWS OF INDIA WITH ITS PLACE OF BUSINESS AT 637 AB, METTUPALAYAM ROAD, PERIYANAICKENPALAYAM, COIMBATORE, TAMIL NADU - 641020 (HEREINAFTER REFERRED TO AS "INVESTMATES" or "COMPANY", "WE", "US" OR "OUR") AND THE INDIVIDUAL (HEREINAFTER REFERRED TO AS "USER", "YOU" OR "YOUR") WHO ACCESSES, USES, OR VIEWS THE WEBSITE (https://investmates.io/) OR THE MOBILE APPLICATION OFFERED THROUGH THIS WEBSITE (HEREINAFTER TOGETHER REFERRED TO AS "THE PLATFORM"). THE COMPANY THROUGH THIS PLATFORM PROVIDES VARIOUS TECHNOLOGY SERVICES TO ITS USERS. THE USER ACKNOWLEDGES AND AGREES THAT THE COMPANY IS ONLY A TECHNOLOGY SERVICE PROVIDER AND DOES NOT PROVIDE ANY FINANCIAL OR INVESTMENT ADVISORY SERVICES.

PLEASE READ THE TERMS CAREFULLY AS YOUR USE AND ACCESS OF THE PLATFORM IS SUBJECT TO YOUR ACCEPTANCE OF AND COMPLIANCE WITH THE SAME

BY ACCEPTING THESE TERMS, BY CLICKING 'I AGREE' (OR SIMILAR BUTTON) OR BY ACCESSING OR USING THIS PLATFORM, YOU REPRESENT AND WARRANT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCEPT THESE TERMS OR USE OR ACCESS ALL OR ANY PORTION OF THE PLATFORM.

You may not access the Platform, if You are Investmates' competitor, except with a prior written consent of Investmates. In addition, You may not access this Platform for purposes of monitoring its availability, performance, or functionality, or for any other benchmarking or competitive purposes.

We may amend these Terms, the Privacy Policy, or such other terms as it deems necessary from time to time, and You acknowledge and understand that Your continued access to the Platform and use of the Services shall be subject to such terms as may be made applicable from time to time. You should periodically review these Terms and Privacy Policy for any latest amendments. Once posted, those changes are effective immediately unless stated otherwise. Continued access or use of the Services constitutes Your acceptance of the changes and the amended Terms and Privacy Policy. However, if You do not agree with the changes, please do not continue to use the Services or submit Information to Us.

The Terms were last modified on February 9, 2024.

Definitions:

"Content" shall mean all the data and information including but not limited to the data made available by You, other users or the third-party service providers on the Platform, the information pertaining to the market trends and analysis that is aggregated by Us, any comments, posts, discussions, recommendations, articles, third party websites, links, audio visual materials, and any other information or data other than the User Data.

"Intellectual Property Rights" shall mean and include, without limitation, any patents, all current and future copyrights, trademarks, trade secrets, know-how, service marks, database right, inventions, patents, topographies, trade and business names, domain names, marks and devices (whether or not registered), design right, moral right or any other property rights (in each case, whether registered or not and including applications for registration, if any) that grant similar rights as the foregoing, anywhere in the world.

"Services" shall mean the fetching, tracking, aggregation, and analysis of User Data, provided by the Company through the Platform to the Users for availing information about their investments and understanding the insights on investment products, including stocks, ETFs, mutual funds, etc., and includes a functionality to interact and engage with other Users and receive services from third parties registered with the Platform at the discretion of the User.

"Third Party Platforms" would mean including but not limited to platforms of a third-party stockbrokers, digital asset aggregators, etc.

"User Data" shall mean a User's name, gender, email address, residential address, contact number, proof of identity, AADHAAR number, PAN details, bank account details and any financial or investment related information submitted by the User through the Platform or collected by Investmates through Third Party Platforms subject to the User's consent for the provision of Services.

Eligibility: Intended for Users 18 and older

This Platform is intended for the use of Users who are of 18 years of age or older. Users under the age of 18 should get the assistance of a parent or guardian to use this Platform.

If You are accessing an Account to use the Services on behalf of a User, then You represent and warrant that You: (i) are an authorized representative of such User (ii) agree to be bound by these Terms on behalf of such User. We shall not be under any obligation to verify Your authority or eligibility.

The Services are not available to any Users previously removed from the Service by Us. If You do not qualify to be an eligible User, You should not use these Services.

Registration and use of User Account

The Account gives access for Users to use the Services and functionalities that We may establish and maintain from time to time in Our sole discretion. As a condition for using Services, User must complete the registration on the ‘sign up’ page available on the Platform and create a User account ("Account") by entering his/her email address and/or mobile number on the Platform. You acknowledge that providing such information is necessary for the use of the Services and agree that such information shall be accurate and complete, failing which the Company may cancel or refuse your access to the Platform or any part of the Services offered to You.

The User shall be solely responsible for maintaining the confidentiality of the Account, its log-in credentials, passwords to keep Your Account secure. Solely, the User will be responsible for all activities that occur under his/her Account. You must (i) notify Us immediately of any breach of security or unauthorized use of Your Account; (ii) report to Us immediately and use reasonable efforts to stop any unauthorized use of the Services that is known or suspected by the Users, and (iii) not provide false identity or information to gain access to or use the Services. You shall be solely responsible for Your acts and omissions. We shall not be liable for any losses caused by any unauthorized use of Your Account, loss of data or functionality by the User. We also, at Our sole discretion, reserve the right to refuse or cancel registration of any Account which We deem inappropriate.

Right To Use:

The Company operates as a technology Platform to enable the User to avail the Services through the Platform. Upon creation of an Account and unless terminated in accordance with the Terms, We hereby grant You a revocable, non-exclusive, non-assignable, non-transferable, non-sublicensable, limited right and license to access and use the Platform for Your personal non-commercial use only and as permitted by the features of the Services in accordance with these Terms and for no other purposes. We grant You this license as set forth in these Terms if You comply with these Terms and the applicable laws. Nothing contained herein shall be construed as granted to the User any Intellectual Property Right regarding the Platform and/or Services except as expressly provided for hereunder. Investmates reserves all rights not expressly granted herein. Use of the Platform for any purpose not expressly permitted by these Terms is strictly prohibited.

Restrictions

Access to the Platform and use of the Services shall always be subject to the following restrictions, failing which the Company may take any action it deems necessary at its sole discretion. You agree

1. not to reverse-engineer, reproduce, decompile, disseminate, copy, exploit the Platform;
2. not to represent yourself as an agent or reseller of the Platform and the Services, or any part thereof;
3. not to sell, license, rent, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works of the Platform;
4. not to use or abuse the Platform for or in relation to any illegal or unlawful purposes including fraud, embezzlement, money laundering, etc.;
5. not use the Services for any illegal purposes or for the violation of any law or statutory regulation, including, but not restricted to indulging in; (i) any unfair, manipulative or fraudulent practices in terms of the Securities and Exchange Board of India (Prohibition of Fraudulent and Unfair Trade Practices relating to Securities Market) Regulations, 2003; or (ii) any insider trading and/or communication of unpublished price sensitive information in terms of the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015.
6. not to conduct or facilitate any actions which result in a detrimental effect on the Platform or the Services or any related computer resource, including DDoS attacks, data security breaches, or otherwise any disruption to the servers, hardware, or network of any other person or the Platform or the Services;
7. that You shall have no right to the intellectual property and any proprietary information made available or accessible through the Platform or the Services;
8. You will not use the Platform to develop any competing platforms, applications, websites, or products which are similar or substantially similar to the Platform

Prohibited Conduct

You agree not to engage in any of the following activities:

1. Violating laws and rights: You may not violate or encourage others to violate any right of or obligation to a third party, including but not limited to, by infringing, misappropriating, or violating confidentiality, or privacy rights
2. Solicitation: You may not use the Platform, or any information provided through the Platform for the transmission of advertising or promotional materials, including junk mail, spam, chain letters, or any other form of unsolicited or unwelcome solicitation.
3. Disruption: You may not use the Platform in any manner that could disable, overburden, damage, or impair the Platform, or interfere with any other party’s use, access and enjoyment of the Platform; including by (a) uploading or otherwise disseminating any virus, adware, spyware, worm or other malicious code, or (b) interfering with or disrupting any network, equipment, or server connected to or used to provide any of the Services on the Platform, or violating any regulation, policy, or procedure of any network, equipment, or server
4. Impersonation or unauthorized access: You may not impersonate another person or entity, or misrepresent Your affiliation with a person or User when using the Platform; You may not use or attempt to use another’s account or personal or financial information; and, You may not attempt to gain unauthorized access to the Platform, or the computer systems or networks connected to the Platform, through hacking, password mining or any other means. You may not attempt to disable, "hack" or otherwise interfere with the proper functioning of this Platform.

Third-Party Servers

The Platform is hosted on a third- party server and any use of or access of the Platform by You shall be governed by the terms and conditions applicable to the use of such third-party server in addition to these Terms.

Platform Features

1. Contact the Experts

The Platform may provide You an option to connect with experts certified by the Securities and Exchange Board of India. This facility is merely provided for ease of the User’s reach to such experts. We shall act solely as technology partner enabling the brokerage firms, investment advisors, research analysts to connect and engage with Users in a professional capacity and provide aggregated, factual representation of the User Data reflecting the market performance of such information. The User shall validate the authorisation and the licenses to practice of such experts on its own and may choose to obtain any expert advisory at its own risk. The User acknowledges and understands that Investmates does not guarantee or endorse or be liable for any of the advisory services provided by the experts and the Platform is merely a medium for connecting the Users with the experts. The User shall, before availing any services from such experts, read the terms and conditions of their engagement (as applicable)

2. Community

The Platform enables its Users to interact with each other, create social groups for sharing knowledge, market trends and opinions/views. The User agrees to use the said facility at its free will and own risk. Investmates do not take any responsibility for the consequences thereof.

3. Hyperlinks

The Platform may from time to time contain hyperlinks to other websites or mobile applications. Such links are provided for convenience and information purposes only and We take no responsibility for the content and maintenance of or privacy compliance by any linked website. Any hyperlink on Our Platform to another website does not imply Our endorsement, support, or sponsorship of the operator of that website nor of the information and/or services which it provides. Investmates is not a party to any transaction between You and such website. Your use of such website is subject to the terms and conditions of that website, without any reference to this Platform

The Platform Does Not Provide Investment Advice

All investment related information offered on the Platform, including but not limited to recommendations, analysis, portfolio health score, suggestions, notifications, reminders, and text messages, comes from automated systems and software and is for information purposes only. The Platform and the Services offered herein are here to provide aggregation of the User Data and the financial and investment information available in public for the convenience of the User. Except for the Content shared by You on the Platform, all materials including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, information, audio, videos, music, and third-party Content available on the Platform are for informational purposes only. You acknowledge that the provision of Services through the Platform shall not constitute investment advisory. If You rely on any Content provided through the Services and make any financial or investment related decisions, You do so solely at Your own risk

Investmates does not recommend or endorse any specific investment products, or other information that may be mentioned on the Platform. Reliance on any information appearing on the Platform is solely at Your own risk

Investmates shall not be liable or responsible for any actual or threatened losses, damages, expenses, disputes or otherwise any claims received by the User in respect of the use or misuse of the Platform or Services by You, and the Company shall be entitled to cancel or refuse to offer the Services to You without any notice or obligation to provide reasons.

Content on the Platform

The User understands that the Platform will contain;

1. information, data, news articles, analysis about the stocks and the trends in the market that are aggregated by Investmates including but not limited to the information about the macro-economic situation, listed entities, various digital assets
2. information, data, comments, posts made available by other users or the third-party service providers using the Platform;
3. information made publicly available by other users of the Platform pertaining their own investments;
4. recommendations, articles, links to third party websites, audio visual materials, and any other information.

The User understands that all such information is provided by Investmates for purposes of Your information only and any use or reliance on such information shall be at Your own risk.

Content uploaded by the User on the Platform

You agree that You shall be solely responsible for any Content uploaded by You on the Platform, and for ensuring that the Content does not (i) include anything that actually or potentially infringes or misappropriates the copyright, trade secret, trademark or other Intellectual Property Right of any third party; or (ii) contain anything that is obscene, defamatory, harassing, offensive, malicious, harmful, abusive, invasive of privacy, threatening, embarrassing, hateful or otherwise discriminatory, false or incites an illegal act; (iii) violate any applicable law or (iv) contain anything which is harmful to child; or (v) belongs to another person and to which the User does not have any right; or (vi) contain anything which deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any misinformation or information which is patently false and untrue or misleading in nature [or, in respect of any business of the Central Government, is identified as fake or false or misleading by such fact check unit of the Central Government as the Ministry may, by notification published in the Official Gazette, specify]; or (vii) threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or is insulting other nation

You further acknowledge and agree that any Content provided by the Platform in furtherance to the linking of Your portfolio is solely for aggregation and graphical representation of the information shared at Your discretion and consent

User Data

You acknowledge and agree that to provide the Services, the Company will require access to the User Data shared by You and obtained from Third-Party Platforms as permitted by You. As part of the Services, You authorize Us to import Your User Data dispersed over Third Party Platforms. The User agrees to provide Us with accurate, complete, and updated information and authorize us to use your information to allow Us to provide the Services and as otherwise disclosed in Our Privacy Policy. You hereby acknowledge, agree, and grant Your express authorization to the Company that the information shared by You on the Platform or received by the Company from various intermediaries and third parties may be shared by the Company with other third parties solely for the purposes of providing the Services

Proprietary Rights

Any and all rights to the Platform, Services, graphics, images, layouts, logos, trademarks, or text thereof including title, ownership rights and Intellectual Property Rights is the sole and exclusive property of Investmates and/or its licensors. This Agreement does not grant the User any rights, title, and interest in and to Platform, its contents, and branding thereof including Investmates’ Intellectual Property Rights except where expressly and unequivocally licensed herein. Any rights not expressly and unequivocally granted to the User are reserved.

The User shall retain title to and all ownership rights in their respective Content and User Data. User shall grant to Investmates a worldwide, non-exclusive, sublicensable, transferable fully paid-up license to host, copy, transmit, analyse, process, display, store, configure, and perform the Content and User Data solely as necessary to provide the Services to the User.

You may choose to, or We may invite You to submit, or You may submit comments or feedback, review, ratings about the Services including without limitation about how to improve the Services and the features of the Platform. By submitting any comment, You agree that Your disclosure is gratuitous, unsolicited and without restriction and will not place Investmates under any fiduciary or other obligation to maintain the secrecy of such feedback, comments, or review and that We are free to use the feedback, review, ratings without any compensation to You, and/or to disclose the same on a non-confidential basis or otherwise to anyone. You further acknowledge that, by acceptance of Your submission, Investmates does not waive any rights to use similar or related ideas previously known to Investmates or developed by its employees or obtained from sources other than You.

Privacy & Security

Investmates cares about the privacy of Our Users, the integrity and security of the User’s personal information. The personal information collected by Us is subject to and governed by Our Privacy Policy located at https://investmates.io/privacy. You understand that by using the Services and/or accessing the Platform You consent to the collection, use and disclosure of Your personally identifiable information and aggregate data as set forth in Our Privacy Policy, and to have your personally identifiable information collected, used, transferred to, and processed.

The efficiency of maintaining the confidentiality of the information provided by You shall always be subject to the software and hardware used by You, including the capability of Your electronic device, internet connection, and such other specifications or features that may be relevant for or ancillary to accessing the Platform and availing the Services;

Warranty Disclaimer

WE MAKE NO GUARANTEES, REPRESENTATIONS, ENDORSEMENTS OR WARRANTIES, WHETHER EXPRESSED OR IMPLIED, WITH RESPECT TO PROFESSIONAL QUALIFICATIONS, EXPERTISE, OR INFORMATION, OR OTHER CONTENT WITH REGARD TO THE PLATFORM AND THE SERVICES. IN NO EVENT, SHALL WE BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON OUR SERVICES.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PURPOSE, NON-INFRINGEMENT OR TIMELINESS OF THE CONTENT. WITHOUT LIMITING THE FOREGOING, INVESTMATES, ITS SUBSIDIARIES, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE(S) WILL BE AVAILABLE AT ANY SPECIFIC TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE PLATFORM OR THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED USING THE PLATFORM OR THE SERVICE IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD OR YOUR USE OF THE SERVICE OR THE PLATFORM.

INVESTMATES DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE PLATFORM OR ANY HYPERLINKED WEBSITE OR SERVICE.

INVESTMATES SHALL NOT BE LIABLE FOR ANY (i) WRONG INFORMATION, INVESTMENT RECOMMENDATION OR INVESTMENT ADVISORY, SUGGESTIONS, REPORTS, USER DATA AGGREGATION, USER DATA ANALYSIS AND CONTENT BEING GIVEN ON THE PLATFORM, AND (ii) ANY TYPE OF LOSS, DAMAGE, CLAIMS OF WHATSOEVER NATURE OF THE USER DUE TO, USE OF THE PLATFORM.

IN ADDITION, INVESTMATES DOES NOT WARRANT THAT USE OF THE WEBSITE WILL BE FREE FROM TECHNOLOGICAL DIFFICULTIES INCLUDING, BUT NOT LIMITED TO, UNAVAILABILITY OF INFORMATION, DOWNTIME, SERVICE DISRUPTIONS, VIRUSES, OR WORMS, AND YOU UNDERSTAND THAT YOU ARE RESPONSIBLE FOR IMPLEMENTING SUFFICIENT PROCEDURES AND CHECKPOINTS TO SATISFY YOUR PARTICULAR REQUIREMENTS FOR ACCURACY OF DATA INPUT AND OUTPUT. THE AVAILABILITY OF THE PLATFORM AND THE SERVICES WILL BE SUBJECT TO ANY FIXES OR UPDATES THAT INVESTMATES MAY FIND NECESSARY TO MAKE, AND YOU ACKNOWLEDGE THAT THE COMPANY SHALL NOT BE LIABLE IN ANY MANNER WHATSOEVER TOWARDS ANY DAMAGES, LOSSES OR OTHER CLAIMS WHICH MAY BE THREATENED OR INCURRED AS A RESULT.

FURTHER, THE PLATFORM MAY CONTAIN USAGE OF AI TECHNOLOGIES. INVESTMATES DOES NOT PROVIDE WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY, SUITABILITY, OR AVAILABILITY OF THE AI TECHNOLOGIES UTILIZED IN THE PLATFORM. ALL INFORMATION AND RESULTS GENERATED USING THE AI TECHNOLOGY ARE PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE “BASIS. INVESTMATES EXPRESSLY DISCLAIMS ANY WARRANTY OR GUARANTEE THAT SUCH AI-GENERATED RESULTS OR INFORMATION WILL BE ACCURATE, COMPLETE, ERROR FREE, OR SUITABLE FOR ANY SPECIFIC PURPOSE. USERS SHALL INDEPENDENTLY VERIFY CRITICAL INFORMATION BEFORE USING SUCH INFORMATION IN WHATSOEVER MANNER IT MAY BE

Termination/ Access Restriction

Investmates reserves the right, in its sole discretion, at any time, without notice to (i) terminate Your access to the Platform and the related Services or any portion thereof, and acceptance for registration of your Account in the future will be at Our discretion (ii) Remove communications that fail to conform with these Terms (iii) Edit or delete any communications posted on the Platform, regardless of whether such communications violate these standards. Your right to access and use the Platform terminates automatically upon Your material breach of any of these Terms. Investmates reserves the right to change, suspend or discontinue all or any aspects of the Platform at any time without prior notice and liability.

Indemnity

You agree to defend, indemnify and hold harmless Investmates and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising out of or related to: (i) Your use of and access to the Services and Platform, including any data or Content transmitted or received by You through the Platform; (ii) Your violation of these Terms; (iii) Your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; (iv) Your violation of any applicable law, rule or regulation; (v) User Content or any other information or Content that is submitted through Your Account including without limitation misleading, false, incomplete or inaccurate information; (vi) Your negligent or wilful misconduct.

Limitation Of Liability

THE USE OF THE SITE IS ENTIRELY AT YOUR OWN RISK, AND IN NO EVENT, SHALL WE BE LIABLE TO YOU (OR TO ANY THIRD PARTY CLAIMING UNDER OR THROUGH YOU) FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE PLATFORM AND/OR THE SERVICES. THESE EXCLUSIONS APPLY TO ANY CLAIMS FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, ANY OTHER COMMERCIAL DAMAGES OR LOSSES, OR INVESTMENT ADVICE OR RECOMMENDATION BY OTHER USERS OR THIRD-PARTY PROVIDER THROUGH USE OF THE SERVICE AND PLATFORM, EVEN IF WE KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT WE SHALL NOT BE LIABLE FOR ANY CONTENT POSTED BY YOU OR BY ANY USER OR THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICE IS TO STOP USING THE PLATFORM AND/OR THE SERVICE.

General

1. Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred, or assigned by You, but may be assigned by Us without restriction. Any attempted transfer or assignment by You in violation hereof shall be null and void

2. Independent Contractor

You agree that no joint venture, partnership, employment, or agency relationship exists between You and Investmates because of these Terms or use of the Platform.

3. Compliance with Law

Investmates' performance of these Terms is subject to applicable laws and legal process, and nothing contained in these Terms are in derogation of Investmates' right to comply with governmental, court and law enforcement requests or requirements relating to Your use of the Platform or information provided to or gathered by Investmates with respect to such use

4. Notification Procedures and Changes to the Terms

Investmates may provide notifications, whether such notifications are required by law or are for marketing or other business-related purposes, to You through an email or messages, or through posting of such notice on the Platform, as determined by Investmates in its sole discretion. The Users may also choose to discontinue receiving such notification. Investmates is not responsible for any automatic filtering You or Your network provider may apply to email notifications We send to the email address You provide Us.

5. Electronic Record

This document is an electronic record in terms of the Information Technology Act, 2000 and the rules framed thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

6. Entire Terms /Severability

These Terms, together with any amendments and any additional agreement You may enter with Investmates in connection with the Services and the use of the Platform, shall constitute the entire agreement between You and Investmates concerning the Services. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

7. No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Investmates’ failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

8. Dispute Resolution

Any dispute or claim relating in any way to Your use of any Services, by Investmates or through the Platform will be resolved by binding arbitration, to be conducted by an arbitrator appointed by Investmates. The arbitration proceedings shall be governed by the Arbitration and Conciliation Act, 1996 and the seat of the arbitration shall be in Coimbatore, Tamil Nadu. The language of the proceedings shall be English, and the award of the proceedings shall be final and binding on the parties

9. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted and construed in accordance with the laws of India.
